These Terms and Conditions ("Terms") apply to all contracts between MK Services & Logistik GbR, Ulmenweg 1, 71292 Friolzheim, Germany ("we", "us", "NeuralPulse24.ai") and its customers ("you", "customer") relating to the use of the KIPulse platform, in particular the free KIPulse Check, the purchase of the paid KIPulse analysis report, and the booking of a free strategy call.
These Terms apply both to consumers (§ 13 BGB, German Civil Code) and to business customers (§ 14 BGB). Where a provision applies exclusively to one of these two groups, this is indicated in the relevant clause.
Any deviating, conflicting, or supplementary terms and conditions of the customer do not become part of the contract unless we expressly agree to their validity in writing.
The contracting party is MK Services & Logistik GbR, Ulmenweg 1, 71292 Friolzheim, Germany, VAT ID DE348510652, represented by G. Djeunkam.
KIPulse is a web-based AI analysis platform that helps companies assess their AI maturity and identify digitalisation and automation potential. In particular, KIPulse offers a free KIPulse Check with a free management summary, a paid full analysis report, and the option to schedule a free, non-binding strategy call.
No permanent user account is required to use the free KIPulse Check or purchase the paid report; providing an email address as part of the questionnaire is sufficient. Salutation, first and last name, company, country, and phone number may additionally be provided voluntarily.
The KIPulse Check can be used free of charge and without any obligation to purchase.
Results of the free check (AI maturity level, industry average, management summary) are approximate values based on a simplified calculation model; see the Disclaimer.
Data collected in the free check is used exclusively to generate and deliver the result, not for any further marketing or sales purposes (see Privacy Policy, section 2.5).
Following the free check, the customer may purchase the full KIPulse analysis report and chooses between the Professional, Business, and Enterprise packages. The scope and price of each package are set out in § 14. The purchase contract is concluded in accordance with § 17 of these Terms.
The Business package includes, in addition to the full analysis report, a personal online review (60–90 minutes) with one of our consultants and an implementation plan. This online review is a non-severable part of the unified overall Business package service and is not separately remunerated or treated as an independent service contract; the appointment is reserved as described in § 29.
The analysis report is generated fully automatically by an AI system based on the information provided by the customer in the questionnaire (see § 8 and the Disclaimer). After successful payment, the report is made available to the customer as a downloadable PDF and additionally sent by email.
All content of the analysis report is generated automatically, without editorial or expert review by a natural person prior to delivery. The customer is obliged to review the results on their own responsibility before basing any business decisions on them. The Disclaimer applies in addition.
The quality of the analysis report depends significantly on the accuracy and completeness of the information provided by the customer, including in particular their status as a consumer or business customer (see § 15).
The customer may use the analysis report for their own internal business purposes, including sharing it with their own employees, partners, and advisors as part of internal decision-making.
In particular, the commercial resale of the report to third parties without our prior written consent, the automated mass generation of reports outside the regular order process, and false statements regarding consumer/business status in order to circumvent pricing or rights, are not permitted.
The structure, layout, design, and methodology of the analysis report and of the KIPulse platform are protected by copyright and belong to us or our licensors.
Upon payment in full, the customer receives a simple, non-exclusive, time-unlimited right to use the purchased analysis report for the purposes described in § 10.

All displayed prices are final prices including statutory VAT (currently 19%). The breakdown into the net amount and VAT is shown on the respective invoice (see § 16).
These prices apply to orders from Germany and to consumers. For business customers based elsewhere in the EU (intra-Community supply, reverse-charge procedure pursuant to § 13b UStG) or in a third country, please contact us before ordering at kontakt@neuralpulse24.ai for adjusted billing.
Payment is processed via the payment provider Stripe, where you may pay by credit card or PayPal. The purchase price is due immediately upon ordering. Before completing the order, the customer actively selects whether they are acting as a private individual/consumer or as a business/trader (see § 17(3)). This information must be provided truthfully.
After successful payment, the customer promptly receives a proper invoice pursuant to § 14 UStG by email, including a sequential invoice number, our full details (see § 2), the customer's billing address (as provided by the customer as part of payment processing via Stripe), a description of the service, the invoice and service dates, and the net amount, VAT rate, and VAT amount.
The presentation of the analysis report and its pricing on the website does not constitute a binding offer on our part, but rather an invitation to the customer to submit an offer.
By clicking the order button, the customer submits a binding offer to purchase the analysis report; the order button is designed so that it is clearly recognisable to the customer that the order is subject to a payment obligation (§ 312j(3) BGB).
Before submitting the order, the customer bindingly selects their status: private individual/consumer or business/trader.
The contract is concluded once we receive confirmation of the customer's payment via Stripe and send the customer the order and contract confirmation by email.
The analysis report is provided as digital content within the meaning of § 327(2) sentence 1 BGB immediately after payment is received, made available for download, and additionally sent by email. For customers acting as a private individual/consumer, provision only takes place after obtaining the consent to early performance described in § 24.
We strive to ensure the KIPulse platform is available as uninterruptedly as possible, but cannot guarantee 100% availability, in particular during maintenance work, force majeure, or disruptions at upstream service providers.
We reserve the right to adapt the KIPulse platform, the questionnaire, and the structure of the analysis report as part of ongoing development, provided this is reasonable for the customer and does not materially degrade the core of the service owed.
We are liable without limitation for intent and gross negligence, under the German Product Liability Act, and for injury to life, body, or health.
In the event of slightly negligent breach of material contractual obligations ("cardinal obligations"). Obligations whose fulfilment is essential for the proper performance of this contract and on whose observance the customer may regularly rely. Our liability is limited in amount to the foreseeable damage typical for this type of contract at the time the contract was concluded.
In all other respects, liability for slightly negligent breaches of duty is excluded.
In particular, we are not liable for business decisions the customer makes on the basis of the analysis report, nor for the occurrence of the economic figures presented in the report as estimates (see the Disclaimer).
The provisions of § 21 apply correspondingly to our legal representatives and vicarious agents.

A statutory right of withdrawal exists only where the customer has indicated during the order process that they are acting as a private individual/consumer. Details are set out in the separate Withdrawal Information, which is provided to the customer before the contract is concluded. Where the customer acts as a business/trader within the meaning of § 14 BGB, no statutory right of withdrawal exists.
As the analysis report is a one-off service (not a subscription or continuing obligation), termination in the strict sense does not apply.
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For merchants, legal entities under public law, or special funds under public law, the exclusive place of jurisdiction for all disputes arising from this contractual relationship is our place of business, Friolzheim. This jurisdiction agreement does not apply to consumers; the statutory rules on jurisdiction apply instead.
Customers of the Business and Enterprise packages may reserve a free, non-binding strategy call via the booking function embedded on the website (Cal.com). The booking constitutes a purely non-binding reservation of an appointment and does not create a separate, paid service contract. The same limitations that apply to the analysis report also apply to the content of the strategy call (see the Disclaimer) — in particular, it does not constitute legal, tax, or investment advice.
